The terms and conditions governing your use of the Egg personal memory & daily reflection application and website.

Please read these Terms of Service (“Terms”) carefully before using the Egg personal memory & daily reflection mobile application and the myegg.app website (collectively, the “Service”), operated by Egg Technologies LLC (“we”, “us”, or “our”).

By downloading, accessing, or using Egg, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. 100% User Content Ownership

Your personal reflections, memories, photos, audio notes, and thoughts belong entirely to you.

  • You Own Your Data: Egg does not claim any intellectual property rights, copyright, or title over the content you create, attach, or import into the app.
  • Limited Operational License: You grant us only a limited, non-exclusive, worldwide, royalty-free license strictly necessary to operate the Service on your behalf—specifically to store, back up, transmit, and display your content to you across your synchronized devices.
  • No Commercial Exploitation: We will never sell, publish, publicly display, or license your private reflections, memories, or content to third parties, advertisers, or artificial intelligence model trainers.

2. Eligibility & Accounts

  • Eligibility: You must be at least 13 years old (or the minimum legal age required in your jurisdiction) to create an account or use Egg.
  • Account Security: If you create a cloud synchronization account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at hello@myegg.app if you suspect unauthorized access.
  • Accuracy: You agree to provide accurate and current contact information when creating an account.

3. Acceptable Use Policy

Egg is intended as a calm, private space for personal reflection and memory keeping. You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the application, except where explicitly permitted by applicable law.
  • Use the Service to store or transmit illegal material, malicious code, malware, or software viruses.
  • Interfere with or disrupt the integrity or security of our cloud sync infrastructure.
  • Attempt to gain unauthorized access to servers, databases, or accounts belonging to other users.

4. Subscriptions, Payments & Auto-Renewal

Egg may offer optional premium features (such as Egg Plus, offering expanded cloud backup or custom themes) via auto-renewing subscriptions or one-time purchases.

A. Billing & In-App Purchases

  • All financial transactions and subscriptions are processed directly through the Apple App Store (using your Apple ID) or Google Play Store (using your Google Account). We do not store or process your credit card or bank details.
  • Payment will be charged to your App Store or Google Play account at confirmation of purchase.

B. Auto-Renewal Terms

  • Automatic Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  • Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
  • Managing Subscriptions: You can manage your subscription and turn off auto-renewal at any time by going to your device’s Account Settings (under Subscriptions in iOS Settings or Google Play Subscriptions) after purchase.
  • Free Trials: If a free trial period is offered, any unused portion of the trial will be forfeited when you purchase a subscription to that tier, where applicable.
  • Refunds: All refund requests are subject to the policies of the respective app store (Apple or Google) through which the purchase was made.

5. Offline-First Architecture & Data Backup

Egg uses a local-first database architecture, caching your memories and reflections on your physical device and synchronizing changes to encrypted cloud storage when online:

  • While we use enterprise-grade cloud infrastructure (Supabase / AWS) with redundant storage, technology systems can experience unexpected device failures or hardware loss.
  • We strongly recommend maintaining regular local device backups (such as Apple iCloud or Google Device Backup).
  • We provide built-in data export capabilities so you can maintain external copies of your memories in open formats (JSON / Markdown).

6. Disclaimers & Not Medical Advice

  • “As-Is” Provision: The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, statutory, or implied.
  • Not Medical or Psychological Advice: Egg is a personal memory and daily reflection tool. Egg is not a medical device, mental health clinic, therapy provider, or suicide prevention service. It is not a substitute for professional medical or psychiatric diagnosis, advice, or treatment. If you are experiencing a mental health emergency or crisis, please contact local emergency medical services or a crisis lifeline immediately.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Egg Technologies LLC and its founders, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, memories, goodwill, or device malfunction resulting from your use of or inability to use the Service.

In no event shall our total aggregate liability for all claims arising out of or related to these Terms exceed the total amount paid by you to Egg in the twelve (12) months preceding the claim.

8. Account Termination & Permanent Data Erasure

  • Termination by You: You may terminate your agreement with Egg at any time by permanently deleting your account via Settings → Account → Delete Account and removing the application from your device.
  • Irreversible Deletion: Account deletion requires typed confirmation (“delete”) and permanently purges your account credentials, reflection text, memories, tags, and cloud photos from our active systems in accordance with our Privacy Policy.
  • Termination by Us: We reserve the right to suspend or terminate accounts that violate our Acceptable Use Policy, engage in fraudulent activity, or compromise system stability.

9. Apple App Store Additional Terms

If you downloaded Egg from the Apple App Store, the following terms apply:

  1. Acknowledgement: These Terms are concluded between you and Egg Technologies LLC only, not with Apple Inc. Egg Technologies LLC, not Apple, is solely responsible for the Egg application and its content.
  2. Maintenance and Support: Egg Technologies LLC is solely responsible for providing any maintenance and support services. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the app.
  3. Warranty: In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any); to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever.
  4. Third-Party Beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

11. Modifications to Terms

We may update these Terms from time to time. If a revision is material, we will provide at least 30 days’ advance notice within the app or via email before the revised terms become effective. Your continued use of the Service after changes take effect constitutes your agreement to the updated Terms.
